Terms and Conditions
Effective date: 15 November 2025
These Terms and Conditions ("Terms") govern commercial engagements with NWACHIS LIMITED, a company registered in England and Wales ("Company").
Scope of services
The Company provides consulting, UX/UI, product strategy, software development, and support services ("Services"). Detailed statements of work (SOWs) describe deliverables, acceptance criteria, timeframes, and assumptions.
Fees and payment
- Fees are outlined in proposals or SOWs and may be time-and-materials, fixed price, or subscription-based.
- Invoices are payable within 15 days of the invoice date unless otherwise agreed.
- Late payments may incur interest at 4% above the Bank of England base rate.
Client responsibilities
The client will provide timely access to stakeholders, systems, and brand assets, ensure third-party licenses are in place, and secure necessary approvals.
Intellectual property
Unless stated differently in an SOW, all pre-existing IP remains with the original owner. Upon receipt of full payment, the Company assigns deliverable IP to the client, excluding reusable frameworks, tools, and know-how, which are licensed for the client's internal use.
Confidentiality
Both parties agree to keep confidential information secret and use it only for fulfilling the Services. Obligations survive for five years after project completion.
Warranties
The Company warrants that Services will be performed with reasonable care and skill by experienced personnel. Except as expressly stated, all warranties are disclaimed to the fullest extent permitted by law.
Limitation of liability
Neither party is liable for indirect, consequential, or punitive damages. The Company's total liability is limited to the fees paid for the specific SOW giving rise to the claim. Nothing limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.
Termination
Either party may terminate an SOW with 30 days' written notice or immediately if the other party commits a material breach and fails to remedy it within 14 days. Upon termination, the client pays for work completed up to the termination date.
Governing law
These Terms are governed by the laws of England and Wales, and the courts of London have exclusive jurisdiction.
